Terms of Use

1. What Exportain is

Exportain is an online business-to-business marketplace. Suppliers based in Bangladesh list products, buyers anywhere in the world post requests for quotation (RFQs), suppliers submit quotations, and trade service providers — freight forwarders, inspection agencies, customs brokers and similar — list and sell their services.

Exportain provides the platform and the records kept on it. Except where these terms say otherwise, Exportain is not a party to any contract made between two users, does not supply, inspect, insure, ship or clear any goods, and does not act as agent for either side of a trade.

“Exportain”, “we” and “us” mean the operator of the platform. “You” means the company you register and act for.

2. Who may use Exportain

Exportain is for registered businesses and the people who act for them. By registering you confirm that you are authorised to act for the company you name, that the information you give is accurate, and that you will keep it accurate.

An account is confirmed by a one-time code sent to the email address you register. You are responsible for everything done under your account and for keeping your sign-in details confidential. Buyer, seller, provider and administrator accounts each carry only the access appropriate to that role, and one does not grant another.

You are responsible for meeting every export, import, sanctions, licensing and tax requirement that applies to you, to your company and to the goods or services you trade. Exportain does not carry out that assessment for you and does not confirm that a trade is permitted for either party.

3. Listings and the content you submit

Suppliers are responsible for the accuracy of their product listings, prices, minimum order quantities, company profiles and declared certifications. Buyers are responsible for the accuracy of their RFQs and inquiries. Providers are responsible for the accuracy of their service listings, coverage and rates.

Exportain may review, edit, hide, unpublish or remove any content that is inaccurate, misleading, prohibited under section 9, or in breach of these terms — with or without prior notice, and at its own discretion. Listings awaiting review and listings that have been rejected occupy the same capacity on your plan as published ones.

4. Supplier and provider verification

Verification is a review by the Exportain team of what a company submits: identity, phone and email, business registration, export registration, certificates and premises evidence. A badge records what was reviewed and when. It is not a guarantee of a company's capacity, quality, solvency, conduct or performance, and it does not make Exportain responsible for that company.

A badge cannot be bought. No paid plan grants, accelerates or improves any verification outcome. A paying company and a free company holding the same evidence carry the same badges. Verification is optional; unverified companies may still list.

A badge may be withdrawn at any time — for example when a certificate expires, when evidence is found to be false, or when a document is withdrawn by its issuer.

5. RFQs, quotations and orders in goods

RFQs, every quotation version, counter-offers and acceptances are recorded on the platform and visible to the parties involved. When a buyer accepts a quotation, Exportain creates an order record carrying the accepted terms.

That record is evidence of what was agreed. It is not the contract itself: any contract for the sale of goods is between the buyer and the supplier, on the terms they accept. Exportain does not issue invoices for goods, does not guarantee performance by either party, and does not hold money for a trade in goods — see section 7.

6. Trade services

A provider may send a priced offer for a service. A customer — who may be a buyer or a seller — accepts or declines it. Acceptance creates a service order at the price stated, fixed at that moment. An expired or withdrawn offer cannot be accepted.

An offer states whether it may be paid online, through Exportain, or offline, directly to the provider. A buyer may only pay online. A seller may pay either way where the provider's offer allows it. What Exportain does with the money in each case is set out in section 8.

The provider performs the service. Exportain does not perform it, supervise it, or guarantee its outcome.

7. Payments to Exportain

Listing products, posting RFQs, submitting quotations and messaging are free within the limits of your plan. Exportain charges for two things only: a monthly membership, which buys capacity on the platform, and a commission on a provider's service sales.

Prices, plan capacities, how a mid-month plan change is priced, what happens to your listings when your capacity shrinks, and what happens when a payment fails are all set out in the Payment and Membership Terms, which form part of these terms. Where the two differ on a question of payment, those terms apply.

Card details are entered on a page served by our payment processor. Exportain never receives, sees or stores your card details.

8. Money Exportain holds

For a trade in goods between a buyer and a supplier, Exportain holds nothing. Payment is settled directly between the parties on the terms they agreed. Exportain cannot release, withhold or return that money, and does not guarantee that either party will pay or refund the other.

For a trade service ordered and paid online, Exportain does hold the money — from the moment the customer pays until the order is released to the provider, refunded to the customer, or cancelled. While it is held it is not the provider's.

Money never moves on a timer, and silence is never treated as agreement. If a customer does not respond to a provider's completion claim, the order is put in front of a person at Exportain rather than released automatically. Either party may raise a dispute, which freezes the money until it is decided. A dispute is decided one way or the other in full: the whole amount is released to the provider, or the whole amount is returned to the customer. Exportain pays no interest on money it holds.

Exportain holds money for a maximum of 90 days. After that the order is put in front of a person at Exportain and both parties are told, with nothing released or refunded automatically. Exportain aims to decide a dispute within 14 days of it being raised; missing that target does not decide it either way.

A decision about held money settles what happens to that money and nothing else. It does not determine any other right or claim between the two companies.

For a service paid offline, Exportain receives nothing and can return nothing.

9. Prohibited conduct

You must not:

  • submit forged, altered, expired or borrowed documents or certificates;
  • claim to represent a company you are not authorised to represent;
  • misrepresent products, samples, capacity, certifications, origin or terms;
  • use the platform to defraud, harass, threaten or deceive another user;
  • solicit a user to take a payment or a trade off the platform in order to avoid a commission, a held payment or a recorded term;
  • post content that infringes someone else's rights, or that you have no right to post;
  • scrape, copy, resell or redistribute platform content or user data;
  • attempt to access accounts, data, documents or systems you are not authorised to access, or probe, disrupt or overload the platform;
  • use another company's confidential specifications or documents for any purpose other than responding to the request that shared them with you.

10. Your content, and what we may do with it

You keep every right you already hold in the content you submit. You grant Exportain a worldwide, royalty-free, non-exclusive licence to store, reproduce, translate, display and transmit that content as needed to operate and promote the platform — for example to show a listing to buyers, to deliver an RFQ to the suppliers who may quote on it, or to include a listing in search results and sitemaps. The licence lasts as long as the content is on the platform and for as long afterwards as is needed to keep the trade records described in section 11.

Specifications, drawings and documents a buyer attaches to an RFQ or an inquiry are shared with the suppliers it is addressed to, or who quote on it, for the sole purpose of quoting. Using them for anything else is a breach of these terms.

11. Suspension, closure and records

Exportain may suspend, restrict or remove an account that breaches these terms, that submits false information, or that is the subject of a credible report of fraud. Where Exportain is holding money for a service order on a suspended account, it continues to hold it until that order is decided.

You may close your account by contacting us. Closing an account does not cancel a membership on its own, does not refund anything already charged, and does not end an open service order.

Records of RFQs, quotations, orders, disputes, verification decisions and payments are retained as trade records after an account is closed. Exportain's own records of what was submitted, accepted and paid are the record it relies on.

12. The platform itself

Exportain may add, change, limit or withdraw any part of the platform, including plans, prices, capacities and features. A price rise is announced at least 30 days before it takes effect for a company already on that plan; a reduction takes effect at once. Where a change affects what you have already paid for, the Payment and Membership Terms govern it.

Exportain does not promise that the platform will be available without interruption, that it will be free of faults, or that any particular volume of inquiries, leads, quotations or orders will result from using it. Maintenance, third-party outages and connectivity are outside what Exportain can guarantee.

13. Responsibility and its limits

The platform is provided as it is and as available. Exportain does not warrant that listings, quotations, published freight rates, certificates or any document submitted by a user is accurate, genuine or current.

To the fullest extent permitted, Exportain is not responsible for:

  • the performance, conduct, solvency or honesty of any user;
  • a contract made between users, or any loss arising from one;
  • goods that are not delivered, are delayed, are rejected or are not as described;
  • reliance on a verification badge, a rating or a review;
  • money paid directly between two companies outside the platform;
  • indirect or consequential loss of any kind, including lost profit, lost revenue, lost contracts, lost data or damage to reputation.

Where Exportain is found responsible for something despite the above, its total responsibility to you for all claims in any twelve-month period is limited to the greater of the membership fees you actually paid to Exportain in that period, or the amount Exportain is holding for the service order the claim concerns.

Nothing in these terms operates to exclude or limit a responsibility that may not be excluded or limited, and nothing affects the rights you hold against the bank that issued your card.

14. Your undertaking to us

You will cover Exportain against any claim, demand, penalty, loss or cost brought by a third party — including another user, a buyer's or supplier's customer, and any authority — that arises from your listings, your content, your trades, your conduct on the platform, or your breach of these terms. That includes the reasonable cost of responding to such a claim.

15. Notices and contact

Exportain contacts you at the email address on your account and through notices inside your dashboard. Keeping that address current and reachable is your responsibility; a notice sent to it is treated as received.

16. Resolving a dispute with Exportain

This section is about a dispute between you and Exportain. A dispute between two users about a trade is theirs to resolve; where Exportain is holding money for a service order, section 8 applies to that money.

Talk to us first. Before starting any formal proceeding you will set out the claim to us in writing at compliance@exportain.com and allow thirty days for it to be resolved. Most matters are settled at this stage.

Then arbitration. A dispute not resolved that way is referred to and finally settled by arbitration administered by the Singapore International Arbitration Centre under its rules in force at the time. The seat is Singapore, there is one arbitrator, and the proceedings and the award are in English. The award is final and binding on both parties.

Claims are individual. You bring a claim in your own name and for your own loss. Claims are not combined with those of any other user, and no class, collective or representative proceeding may be brought against Exportain.

Two things sit outside this section. Either party may apply to any competent authority for urgent interim relief — for example to stop a misuse of confidential material. And Exportain may bring a claim for unpaid fees, for misuse of the platform, or for infringement of its own rights, before any competent authority where you are established.

17. General

These terms, together with the Payment and Membership Terms, the Refund Policy and the Privacy Policy, are the whole of what is agreed between you and Exportain about the platform, and they replace anything said or written before.

Exportain may update these terms. The date at the top records the current version, and a material change is notified to account holders by email before it takes effect. Continuing to use the platform after that date is acceptance of the updated terms. The version that applies to a payment or an order is the version published when it was made.

Exportain may transfer its rights and obligations under these terms to another company, including as part of a sale or reorganisation of the business. You may not transfer yours without our written agreement.

If any part of these terms is found to be unenforceable, the rest continues to apply. A delay in enforcing a term is not a waiver of it. Nothing in these terms creates a partnership, joint venture, employment or agency between you and Exportain, and no one other than you and Exportain may enforce them.
